This Service Provider Agreement (“Agreement”) governs the relationship between GetHuduma (“Platform”, “we”, “our”, or “us”) and any individual, contractor, freelancer, technician, artisan, professional, company, or business entity (“Service Provider”) that offers services through the GetHuduma Platform.

By registering as a Service Provider on GetHuduma, you agree to be bound by this Agreement.

1. Purpose

GetHuduma operates an online marketplace that connects Clients seeking services with independent Service Providers.

This Agreement establishes the terms under which Service Providers may advertise, offer, and perform services through the Platform.

2. Independent Contractor Relationship

Service Providers acknowledge and agree that:

  • They are independent contractors.
  • They are not employees, agents, partners, or representatives of GetHuduma.
  • Nothing in this Agreement creates an employment relationship.
  • Service Providers are solely responsible for how services are delivered.

GetHuduma does not supervise, direct, or control the manner in which services are performed.

3. Eligibility Requirements

To become a Service Provider, you must:

  • Be at least 18 years old.
  • Have legal authority to enter contracts.
  • Provide accurate registration information.
  • Possess required licenses, certifications, permits, or qualifications where applicable.
  • Maintain good standing under applicable laws and regulations.

GetHuduma may request verification documents at any time.

4. Account Registration and Verification

Service Providers agree to:

  • Provide truthful information.
  • Maintain accurate profile details.
  • Update information when changes occur.
  • Protect account credentials.

GetHuduma may verify identities through:

  • National IDs
  • Passports
  • Driver’s licenses
  • Business registration documents
  • Professional certifications

Failure to provide verification may result in account suspension.

5. Service Listings

Service Providers are responsible for:

  • Creating accurate service descriptions.
  • Setting realistic pricing.
  • Providing truthful qualifications and experience.
  • Updating service availability.

False or misleading information is prohibited.

6. Service Standards

Service Providers agree to:

  • Deliver services professionally.
  • Exercise reasonable care and skill.
  • Complete jobs within agreed timelines.
  • Communicate respectfully with Clients.
  • Follow all applicable laws and regulations.

Repeated failure to meet service standards may result in account suspension or removal.

7. Quotes and Pricing

Service Providers may submit quotations or proposals to Clients.

All quotations must:

  • Be honest and accurate.
  • Clearly state the scope of work.
  • Include applicable fees and charges.

Service Providers may not intentionally underquote services to secure jobs and later demand unreasonable additional payments.

8. Client Communication

Service Providers must:

  • Respond promptly to Client inquiries.
  • Communicate professionally.
  • Provide accurate progress updates.
  • Notify Clients of delays or changes.

Harassment, abuse, threats, or discriminatory conduct are strictly prohibited.

9. Payments

Payments may be processed through GetHuduma’s payment systems.

Service Providers agree that:

  • GetHuduma may deduct platform commissions.
  • Applicable transaction fees may be deducted.
  • Payment release may be delayed pending dispute resolution.
  • Payments are subject to fraud prevention reviews.

GetHuduma does not guarantee uninterrupted payment services.

10. Taxes

Service Providers are solely responsible for:

  • Income taxes
  • Business taxes
  • VAT obligations
  • Government fees
  • Regulatory charges

GetHuduma does not withhold or remit taxes on behalf of Service Providers unless required by law.

11. Insurance and Licensing

Where applicable, Service Providers must maintain:

  • Professional licenses
  • Trade permits
  • Business registrations
  • Insurance coverage

Service Providers are solely responsible for maintaining compliance.

12. Background Checks

GetHuduma reserves the right to conduct or request:

  • Identity verification
  • Qualification verification
  • Criminal record checks where permitted by law
  • Reference checks

Failure to cooperate may result in account restrictions.

13. Ratings and Reviews

Clients may submit ratings and reviews.

Service Providers acknowledge that:

  • Reviews may affect visibility and opportunities.
  • GetHuduma may remove reviews that violate Platform policies.
  • Attempts to manipulate ratings are prohibited.

14. Prohibited Activities

Service Providers must not:

  • Submit false credentials.
  • Engage in fraud.
  • Misrepresent qualifications.
  • Perform illegal services.
  • Solicit payments outside the Platform when prohibited.
  • Abuse Clients.
  • Share malicious software.
  • Circumvent Platform policies.

Violations may result in immediate termination.

15. Health and Safety

Service Providers are responsible for:

  • Maintaining safe working practices.
  • Following applicable safety regulations.
  • Using appropriate equipment.
  • Protecting Client property.

Service Providers assume all risks associated with service performance.

16. Intellectual Property

Any content uploaded by Service Providers remains their property.

By uploading content, Service Providers grant GetHuduma a non-exclusive, worldwide license to display, reproduce, and promote such content for Platform operations and marketing purposes.

17. Confidentiality

Service Providers may access confidential Client information.

Service Providers agree not to:

  • Share confidential information.
  • Use information for unauthorized purposes.
  • Disclose private Client data.

Confidentiality obligations survive termination of this Agreement.

18. Indemnification

Service Providers agree to defend, indemnify, and hold harmless GetHuduma, its owners, employees, and affiliates from claims arising from:

  • Services performed.
  • Negligence.
  • Misconduct.
  • Violations of law.
  • Breach of this Agreement.

19. Limitation of Liability

To the fullest extent permitted by law, GetHuduma shall not be liable for:

  • Lost profits.
  • Business interruption.
  • Property damage.
  • Personal injury.
  • Client disputes.
  • Indirect or consequential damages.

Service Providers use the Platform at their own risk.

20. Suspension and Termination

GetHuduma may suspend or terminate accounts for:

  • Fraud.
  • Poor performance.
  • Repeated complaints.
  • Violation of policies.
  • Illegal conduct.
  • Failure to verify identity.

Termination may occur without prior notice where necessary to protect users or the Platform.

21. Dispute Resolution

Service Providers agree to cooperate with dispute investigations.

GetHuduma may request evidence including:

  • Communications
  • Photos
  • Invoices
  • Contracts
  • Receipts

Platform decisions regarding payment holds and dispute resolution shall be binding unless otherwise required by law.

22. Modification of Agreement

GetHuduma reserves the right to modify this Agreement at any time.

Updated versions become effective upon publication on the Platform.

Continued use of the Platform constitutes acceptance of the updated Agreement.

23. Governing Law

This Agreement shall be governed by and interpreted under the laws of the United Republic of Tanzania.

Any disputes arising under this Agreement shall be subject to the jurisdiction of Tanzanian courts.

25. Acceptance

By registering as a Service Provider on GetHuduma, you acknowledge that you have read, understood, and agreed to this Service Provider Agreement.
